VIGIL COMMERCIAL LICENSE

Version 1.3-27 July 2026

This license governs use of the Vigil source code ("the Software").
By purchasing a license or otherwise obtaining the Software you agree
to these terms. The Software is source-available and commercially
licensed; it is not open-source, until section 8 applies to it.

Version 1.3 grants more than version 1.2 did and takes nothing away.
It applies to every license already sold: no earlier purchaser is left
on worse terms than a later one.


1. THE LICENSE

One purchase grants one company (or one individual), the "Licensee",
a perpetual, non-exclusive, non-transferable right to:

   (a) Use the Software to build and operate applications for the
       Licensee's own business, with unlimited production deployments,
       environments, monitored services and end users.

   (b) Modify the Software without restriction and keep those
       modifications private. There is no copyleft obligation.

   (c) Serve any number of external clients from the Licensee's own
       installation. Operating the Software to monitor client systems
       and publish branded status pages and dashboards for the
       Licensee's clients is internal use under 1(a) and requires no
       additional licenses; those clients access the Licensee's
       installation as end users.

   (d) Deliver an application built on the Software to one external
       client per purchased license, where delivery means the client
       receives their own deployment and/or a copy of the source to
       own and operate, as a working product and not as a development
       kit for resale. Each additional client delivery requires one
       additional license.


2. WHAT THE LICENSE DOES NOT PERMIT

   (a) Redistributing, reselling, sublicensing, open-sourcing or
       otherwise publishing the Software or a substantial portion of
       its source code.

   (b) Offering the Software, modified or not, as a competing
       boilerplate, starter kit, template or code-generation product.

   (c) Sharing repository access outside the Licensee's employees and
       contractors working on the Licensee's projects.

   (d) Removing the NOTICE file from development copies of the source.


3. UPDATES

The purchase includes every version of the Software published after the
purchase date, at no further charge and with no limit of time or major
version. There is no renewal, no maintenance fee and no license key
that expires. Versions you have already obtained remain licensed
forever.


4. OWNERSHIP

The Software remains the intellectual property of its author. Your
applications, branding, data and modifications are yours.


5. WARRANTY AND LIABILITY

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS
OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.
IN NO EVENT SHALL THE AUTHOR BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER
LIABILITY ARISING FROM THE USE OF THE SOFTWARE. THE AUTHOR'S TOTAL
LIABILITY IS LIMITED TO THE LICENSE FEE PAID.


6. TERMINATION

This license terminates automatically if you materially breach
section 2 and do not cure the breach within 14 days of written notice.
Production instances deployed in good faith before termination may
continue to run.


7. THIRD-PARTY COMPONENTS

Dependencies installed from public registries (npm) remain under their
own licenses and are not covered by this license.


8. SUNSET. EVERY RELEASE BECOMES OPEN SOURCE

Each released version of the Software is additionally licensed to the
public under the Apache License, Version 2.0, that grant taking effect
on the earlier of:

   (a) twenty-four (24) months after the date that version was
       published; or

   (b) the date on which twelve (12) months have passed with no new
       version of the Software published at all, applied to every
       version published up to that point.

The Apache-2.0 grant takes effect automatically on that date. It
requires no act, no notice, and no continued existence of the author,
and once effective it is irrevocable. Sections 1, 2 and 6 govern a
version only until its sunset date; after that date anyone may use,
modify and redistribute that version under Apache-2.0. Versions
published before this license version are covered too, measured from
their own original publication dates.

Sunset applies to released versions of the Software. It does not grant
rights to a Licensee's own modifications, data or branding, which
remain the Licensee's under section 4.

This clause exists because the first fair question to ask a one-person
company is what happens when the person stops. This is the answer, and
it fires whether or not anyone is left to fire it.
